Terms of Service

1. Platform Role & Neutrality

1.1 Digital Storefront Facility & Platform Role

VDOlocal provides a digital storefront facility exclusively to Stores that subscribe to an active VDOlocal plan.

Under this facility:

A Store is provided with a unique digital storefront link;
The Store may share such link with its customers;
Customers may download the VDOlocal application, register, and browse the Store's digital storefront;
Customers may place orders or make purchases through the application where such functionality is enabled.

The digital storefront is a technology enablement facility only. VDOlocal does not operate as a marketplace, seller, agent, or intermediary, and does not participate in Store-Customer transactions.

1.2 What VDOlocal Is Not

VDOlocal is not:

A marketplace or e-commerce seller;
A buyer, seller, distributor, reseller, or agent of any goods or services;
A party to any transaction between a store and a customer;
A guarantor of sales, visibility, business growth, or customer satisfaction.

All commercial activity occurs directly between the store and the customer.

2. Definitions

For the purposes of these Terms, unless the context otherwise requires:

"Platform" means the VDOlocal mobile application, website, backend systems, APIs, and associated services.
"Store" means a retail store or local business registered on the Platform to create and manage a digital storefront.
"Customer" means a registered user who views storefront content and may place orders or make purchases from a Store.
"Subscription" means the paid plan selected by a Store to access Platform features and usage entitlements.
"Content" means all images, videos, text, pricing information, catalogues, and other materials uploaded or displayed by a Store on the Platform.

3. User Categories

All persons accessing the Platform must create an account and are classified as Registered Users, including:

Registered User (Store) - a retail store or business using VDOlocal to create and manage a digital storefront.
Registered User (Customer) - an individual who registers to view storefront content, communicate with stores, or place orders or payments where enabled.

There is no unregistered access to Platform features where login is required.

4. Account Registration & Security

Account registration on VDOlocal may require mobile number verification, email authentication, or other verification mechanisms.

Each Registered User is solely responsible for:

Maintaining the confidentiality of login credentials;
All activities conducted through their account;
Ensuring that account information remains accurate and up to date.

VDOlocal shall not be liable for any loss or damage arising from unauthorised access, credential misuse, or failure by a user to secure their account.

VDOlocal reserves the right to suspend or terminate accounts reasonably believed to be fraudulent, duplicated, or created with malicious intent.

5. Eligibility, Age & No Age Verification

5.1 No Age Verification

VDOlocal does not verify the age of any Registered User at the time of account creation and relies entirely on self-declaration by the user.

5.2 Store Accounts

Only individuals who are legally competent to contract should create or manage Store accounts, list goods or services, or receive payments.

5.3 Customer Accounts

Individuals below 18 years of age may view storefront content only under supervision of a parent or legal guardian.

Individuals must be 18 years or older to place orders, make payments, or enter into commercial transactions with a Store.

For avoidance of doubt: being 18 years or older makes a user eligible to transact; it does not create any obligation to purchase.

VDOlocal bears no responsibility for age-related misuse of the Platform.

6. No Discovery, Sales or Business Guarantee

VDOlocal does not guarantee:

Discovery, ranking, or visibility of any storefront;
Customer traffic, enquiries, or engagement;
Sales, orders, or conversions;
Revenue, profitability, or business growth.

Stores are solely responsible for their marketing, pricing, promotions, and customer acquisition.

7. Subscriptions, Plans, Pricing & Usage Entitlements

Subscription plans, pricing, and included usage entitlements are published on the VDOlocal website (vdolocal.com) and may be updated from time to time.

Each subscription plan includes defined usage entitlements, which may include (without limitation):

Number of product or service categories;
Image uploads;
Video uploads (available only to video-enabled or premium plans);
Video minutes;
Storage limits;
Viewer delivery or viewing time;
Analytics access;
Content delivery via third-party Content Delivery Networks (CDN).

7.1 Additional Usage & Upgrades

Where a Store exceeds its included entitlements due to increased viewership, additional video uploads, higher storage usage, or increased CDN consumption, the Store may be required to:

Purchase additional usage packs;
Upgrade to a higher subscription plan; or
Pay applicable usage-based charges,

as communicated on the Platform or website.

All usage entitlements are capacity-based services only and do not guarantee reach, performance, visibility, or business outcomes.

7.2 Subscription Payments & GST

Subscription fees payable by Stores to VDOlocal are charged solely for access to the Platform and its features.

Such subscription payments:

Are processed through VDOlocal's authorised payment gateway (currently Razorpay);
Are payable in Indian Rupees (INR); and
Are exclusive of Goods and Services Tax (GST), which is charged in addition at the prevailing rate (currently 18%), as mandated under Indian law. The Standard plan is ₹4,500 per month + 18% GST and the Premium plan is ₹6,000 per month + 18% GST.

Invoices and tax documentation for subscription fees shall be issued by VDOlocal (TalentGlow LLP). Any change in applicable tax rates shall be applied automatically in accordance with law, without requiring amendment to these Terms.

8. Digital Storefront, Analytics & Business Outcome Disclaimer

The digital storefront, analytics, and insights provided by VDOlocal are indicative and informational only.

For avoidance of doubt:

VDOlocal does not guarantee increased sales, enquiries, visibility, conversions, or business growth.
Analytics reflect system-tracked interactions only and do not represent verified customer intent or demand.
Business decisions taken by a Store based on storefront presentation or analytics are made at the Store's sole risk.

All storefront content, including categories, images, videos, pricing, and offers, is created and controlled solely by the Store. VDOlocal does not verify or validate such content and bears no liability arising from its use.

9. Intellectual Property & Content Rights

Each Store retains ownership of all Content it uploads to the Platform.

By uploading Content, the Store grants VDOlocal a non-exclusive, worldwide, perpetual, royalty-free, transferable and sublicensable licence to host, store, display, reproduce, adapt, edit, publish, distribute, and publicly communicate such Content for the purposes of:

(a) Operating, maintaining, and improving the Platform;
(b) Creating, managing, and promoting Store digital storefronts; and
(c) Promoting VDOlocal, the Platform, and its features through marketing, advertising, and promotional activities, including publication on third-party platforms, social media channels, and video-sharing platforms (such as YouTube).

VDOlocal may edit, adapt, compile, or combine Content with other content for formatting, promotional, or technical purposes, without altering the substantive nature of the Store's offerings.

Any revenue, monetisation, or commercial benefit generated by VDOlocal from such promotional or marketing use of Content (including advertising revenue, sponsorships, or platform-level promotions) shall belong solely to VDOlocal. For avoidance of doubt, Stores shall have no claim to any such revenue.

All intellectual property rights in the Platform, including its software, design, features, trademarks, branding, documentation, and underlying technology, are owned exclusively by VDOlocal or its licensors.

No user may copy, modify, distribute, reverse engineer, decompile, or otherwise exploit any part of the Platform or Platform intellectual property without prior written consent from VDOlocal.

10. KYC & Verification

To enable storefront visibility, payment-related features, or continued Platform access, VDOlocal may require Stores to complete Know Your Customer (KYC) or business verification processes.

Such verification may include submission of government-issued identification, business registration documents, tax registration details, or other information as required.

VDOlocal reserves the right to suspend, restrict, or terminate access where required verification is not completed within a reasonable timeframe.

All verification data shall be handled in accordance with the Privacy Policy.

11. Payments, Orders & Transactions

Where ordering or payment features are enabled:

All transactions occur directly between Store and Customer;
VDOlocal acts only as a technology facilitator;
Payment gateways and third-party providers operate under their own terms.

11.1 No Platform Liability for Transactions

VDOlocal shall not be liable for:

Failed, delayed, or reversed payments;
Pricing errors or offer disputes;
Delivery delays or non-delivery;
Refunds, returns, warranties, or after-sales service;
Customer complaints or chargebacks.

All liability rests solely with the Store.

11.2 Customer-to-Store Payments

Payments made by Customers for the purchase of goods or services listed by a Store are made directly to the Store and are processed through the Store's own payment mechanisms, which may include the Store's payment gateway, UPI, bank transfer, cash-on-delivery, or other methods selected by the Store.

VDOlocal:

Does not collect, hold, route, or settle such customer payments;
Does not issue invoices or receipts for such transactions;
Does not determine or collect GST or other taxes applicable to such sales.

All pricing, tax compliance, invoicing, delivery, refunds, and statutory obligations in relation to customer purchases are the sole responsibility of the Store.

12. Third-Party Services, Messaging Platforms & Infrastructure Dependency

VDOlocal relies on and integrates with third-party services and infrastructure not owned or controlled by VDOlocal, which may include, without limitation:

Cloud hosting and storage providers;
Content Delivery Networks (CDN);
Internet service providers and telecom networks;
Third-party messaging and communication platforms (including but not limited to WhatsApp);
Application programming interfaces (APIs) and external service connectors.

VDOlocal does not control the availability, performance, policies, uptime, or functionality of such third-party services.

Accordingly, VDOlocal shall not be liable for any failure, delay, interruption, degradation, or limitation arising from:

CDN outages, throttling, buffering, or regional delivery issues;
Downtime or underperformance of cloud or hosting infrastructure;
Delayed, failed, restricted, or blocked message delivery on third-party messaging platforms;
Changes in third-party platform policies, pricing, access rules, or technical limitations;
Internet connectivity issues, ISP failures, or telecom network disruptions.

All Platform features dependent on third-party services are provided on a reasonable-effort basis, and their availability does not constitute a warranty or guarantee by VDOlocal.

13. Content Moderation

VDOlocal reserves the right to remove or restrict content or accounts that:

Violate applicable law or Platform policies;
Are misleading, deceptive, or fraudulent;
Infringe intellectual property rights;
Harm Platform integrity.

Such action may be taken without prior notice and without liability.

13.1 Prohibited Content

Stores shall not upload, list, or display any Content that:

Is illegal, counterfeit, or infringes third-party intellectual property rights;
Contains obscene, sexually explicit, or harmful material;
Promotes violence, hatred, or discrimination;
Is misleading, deceptive, or constitutes false advertising;
Contains malware, viruses, or harmful code;
Violates any applicable laws or regulations in India.

VDOlocal may remove such Content without notice and without liability.

14. No Warranty or Satisfaction Guarantee

VDOlocal provides no warranty regarding:

Quality or authenticity of goods or services;
Delivery timelines;
Customer satisfaction;
Outcomes of any transaction.

All disputes must be resolved directly between Store and Customer.

15. Limitation of Liability

Notwithstanding anything to the contrary contained in these Terms, if any liability is imposed on VDOlocal by a court of competent jurisdiction, such liability shall be strictly limited as follows:

The aggregate liability of VDOlocal to any Store or Customer shall not exceed the subscription fees or other fees actually paid by such user to VDOlocal during the immediately preceding three (3) months; and
Where no fees have been paid, VDOlocal's liability shall be nil.

In no event shall VDOlocal be liable for any indirect, incidental, consequential, special, punitive, economic, or reputational damages, including loss of business, revenue, profits, customers, data, or goodwill, even if advised of the possibility of such damages.

16. Indemnity

Each Store agrees to indemnify and hold harmless VDOlocal from any claims, losses, penalties, or expenses arising from:

Customer disputes;
Defective, unlawful, or misrepresented goods or services;
Regulatory or legal violations;
Intellectual property infringement.

17. Force Majeure

VDOlocal shall not be liable for any failure, delay, or degradation of services caused by events beyond its reasonable control, including but not limited to power failures, internet or telecom outages, CDN failures, cloud infrastructure disruptions, governmental actions, natural disasters, cyber incidents, or large-scale network failures.

Such events shall not give rise to any claims, refunds, or liability.

18. Suspension & Termination

VDOlocal may suspend or terminate access for:

Violation of these Terms;
Unlawful or abusive conduct;
Non-payment of fees.

Accrued obligations survive termination.

19. Governing Law & Jurisdiction

For material changes, reasonable notice may be provided through the Platform or via registered contact details.

Continued use of the Platform after such changes constitutes acceptance of the modified Terms.

22. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

23. Entire Agreement

These Terms constitute the entire agreement between VDOlocal and the Registered User and supersede all prior communications.
